Protecting the Long-Term Interests of the House

Long-term stewardship requires thoughtful governance and appropriate legal protections.

As the House develops, appropriate legal and governance arrangements may be introduced to help preserve its philosophy, support responsible decision-making and protect its long-term development.

These arrangements are intended to promote stability, encourage responsible ownership and help ensure that future growth remains consistent with the values of the House.

To help protect the character of the shareholder base and encourage long-term alignment.

Reserved Matters

To help ensure that certain significant strategic decisions remain consistent with the long-term stewardship of the House.

Pre-emption Rights

To provide existing shareholders or designated stakeholders with the opportunity to participate before shares are issued or transferred to outside parties.

Buyback Philosophy

To allow the House, where commercially appropriate and legally permitted, to consider repurchasing shares in support of long-term stewardship.

Succession Planning

To support leadership continuity and preserve the philosophy of the House for future generations.

Collectively, these arrangements are intended to support continuity, responsible stewardship and the long- term independence of the House.

Capital Allocation Philosophy

The House believes that capital should be allocated responsibly and in a manner that strengthens its long-term development.

During the early stages of growth, priority may be given to reinvesting capital into product development, people, operations, technology, intellectual property, inventory, working capital, strategic reserves and international expansion.

As the House matures, capital allocation may increasingly balance continued reinvestment with financial resilience and, where considered appropriate by the Board, the payment of dividends.

The objective is not simply to generate financial returns, but to preserve the long-term strength, independence and stewardship of the House.

Liquidity & Investor Exit Philosophy

The House recognises that long-term investors may, over time, wish to realise part or all of the value of their investment.

Where appropriate, any future liquidity or investor exit should be considered in a manner that supports the long-term stewardship, stability and development of the House.

Any future liquidity or investor exit would be expected to remain consistent with the House’s long-term stewardship principles and appropriate legal documentation.

The objective is to recognise the legitimate interests of investors while protecting the long-term independence, identity and future development of the House.
